Honda and Nissan Announce Merger Talks to Form World's Third-Largest Automaker
In a strategic move poised to reshape the global automotive landscape, Japanese automakers Honda and Nissan have announced plans to begin discussions on a potential business merger. If realised, this integration, which includes smaller alliance partner Mitsubishi Motors, would create the world's third-largest automaker by sales.
A Strategic Alliance in a Shifting Industry
The two companies confirmed on Monday that they had signed a memorandum of understanding, formalising their intention to explore an integrated business structure. Mitsubishi Motors, a longstanding member of Nissan's alliance with Renault SA, has also agreed to participate in these talks.
"We anticipate that if this integration comes to fruition, we will be able to deliver even greater value to a wider customer base," Nissan CEO Makoto Uchida stated.
The merger discussions arrive at a critical time for Japanese automakers, who have faced mounting pressure to accelerate their transition to electric vehicles (EVs) and remain competitive against global giants like Tesla, Volkswagen, and Toyota. Historically, Japan's automakers have lagged in the EV market, and this partnership is viewed as a strategic move to pool resources and expertise in battery technology, autonomous driving software, and hybrid powertrains.
Financial and Strategic Implications
A successful merger could result in an automotive powerhouse valued at over $50 billion, based on the combined market capitalisation of Honda, Nissan, and Mitsubishi Motors. Together, the three automakers could produce around 8 million vehicles annually, positioning them just behind Toyota (11.5 million in 2023) and Volkswagen.
Honda, Japan's second-largest automaker, produced 4 million vehicles in 2023, while Nissan produced 3.4 million, and Mitsubishi contributed just over 1 million.
Collaboration in EV and Autonomous Technology
The proposed merger builds upon an earlier collaboration agreement from March, where Nissan and Honda pledged to share components for EVs, including batteries, and to jointly research autonomous driving software. In August, Mitsubishi Motors joined these discussions, highlighting a collective commitment to innovation.
Honda is expected to benefit from Nissan's experience in large, truck-based SUVs like the Armada and Infiniti QX80, segments where Honda currently lacks a significant presence. Nissan, in turn, could gain from Honda's expertise in hybrid powertrains and manufacturing efficiency.

Despite the optimistic outlook, the merger is not without challenges. Nissan has faced financial difficulties in recent years, including a quarterly loss of 9.3 billion yen ($61 million) and a 6% reduction in its global workforce. Fitch Ratings recently downgraded Nissan's credit outlook to "negative," citing falling profitability, especially in the North American market.
Former Nissan Chairman Carlos Ghosn, speaking via video from Lebanon, criticised the potential merger as a "desperate move," casting doubt on the long-term viability of the alliance.

While the integration remains in the early stages, the proposed merger signals a significant shift in strategy for both Honda and Nissan. Facing an increasingly competitive global market and rapid technological changes, the two automakers are betting on strength in unity.
